    Key non-financial performance indicators

    The Directors of the opinion that the key non-financial performance indicators are closely aligned with our ultimate parent company's shared purpose. There are four purpose led strategic objectives based around non-financial indicators, which are people (up skill our workforce and inscrease women in management) and planet (reduce waste generated and reduced greenhouse emissions).

    Section 172 (1) Statement

    A director of a comapny must act in the way he considers, in good faith, would be most likely to promote the success of the company for the benefit of its members as a whole, and in doing so have regard (amongst other matters) to -

    • the likely consequences of any decision in the long term,
    • the interests of the company's employees,
    • the need to foster the company's business relationships with supplies, customers and others,
    • the impact of the comapny's operations on the community and the environment,
    • the desirability of the company maintaining a reputation for high standards of business conduct, and
    • the need to act fairly as between members of the company.

    This is considered further under the following headings; Purpose, Strategic Decision Making, Employees, Business Relationships, Community and Environment, Business Conduct and Shareholders.

    Purpose

    Orbia Advance Corporation S.A.B. de C.V., the ultimate parent company, is purpose led and passionate about the challenges that define how people will live and thrive tomorrow. Its five business groups are connected by a shared purpose, to advance life around the world. The Wavin business group which includes the Company, is connected by a shared purpose in building health, sustainable environments.

    The purpose has been designed to drive our decision making and exists to help us measure the merits of our business by more than just profits. There are siz purpose led strategic objectives based around people, planet and profit.

    People: upskill our workforce and increase women in management

    Planet: reduce greenhouse gas emissions and reduce waste generated

    Profit: optimise our investments and evolve to an innocative solutions provider

    Strategic Decison Making

    The Directors fulfil their duties partly through a governance framework that delegates day-to-day decision-making to a management team which includes the directors. The management team works closely with the leadership of the Wavin business group in developing a rolling five year strategic plan and when undertaking key decisions, the management team ensures that these are consistent with the six purpose led strategic objectives.

    Risks and uncertainties are considered on a regular basis at various meetings throughout the year. For further details on the risks the Company faces see pages 5-6 on the full document.

    Employees

    Employees are at the heart of the business with two of the purpose led strategic objectives people orientated. For the Company to succeed it manages employees performance and develops and brings through talent.

    The Company engages with its employees via regular engagement surveys, consultative council workshops at each of its facilities, regular trade union meetings, team briefings, digital newsletters and regular health and safety forums.

    Business Relationships

    Business partnerships are a key part to ensuring the Company's success. To do this, the Company develops and maintains strong business relationships with customers, supplies and other professional advisors.

    The Company is not reliant on any single customer, nor does the Company have any significant supplies who are wholly dependent on the Comapny's business. Mailt year framework agreements are in place with key customers and suppliers.

    The Company strives to ensure all its supplies are paid consistent with contractual obligations and the Company has a statutory duty to report its payment practices.

    Community and Environment

    The Company plays an active role in the community and two of the purpose led strategic objectives are related to improving our environmental footprint.

    During the year comany employees volunteered 544 hours at nature reserves and waterways in the close vicinity of our UK sites.

    Recycled PVC is used in the manufacturing processes and the Company complies with the packaging waste regulations. The use of foaming technologies in the manufacture of PVC pipe reduces the requirement for virgin PVC resin.

    Production facilities use significant amounts of electricity, the Company has partnered with its energy supplose providing 100& renewable energy in the UK via offshore wind farms.

    The Company has a legal obligation to restore all quarries back to nature according to agreed planning permissions.

    Business Conduct

    The Company is committed to conducting business with the highest degree of ethics, complying with local laws and as documented in the Code of Ethics and related policies.

    This Code of Ethics reflects the professional spirit and integrity with which the Company wishes to conduct business. It covers a series of mandatory principles and policies applicate to all employees, customers and suppliers.

    Each employee, supplies, business partner or client is responsible for ensuring that business decisions stricly adhere to the Code of Ethics.

    Shareholders

    As a sub-subsidiary of a Mexican listed ultimate parent company there is ultimate shareholder interaction. The Company engages regularly with its European parent comapny in the Netherlands to ensure its aligned with coporate strategy.
